Clients are responsible for:
- Providing accurate and complete information necessary for Growth4ward to perform the Services.
- Ensuring that all content provided to Growth4ward does not infringe on any third-party intellectual property rights.
- Complying with all applicable laws and regulations related to the use of our Services.
- For web design services, clients must provide all content, images, and other assets unless otherwise agreed.
4. Web Design and Development Services
- Growth4ward offers web design and development as part of its Services. Each web design project will include specific deliverables and timelines, which will be outlined in a separate agreement.
- Once design concepts are approved, any additional modifications may incur extra charges.
- Upon final approval and payment, Growth4ward will provide access to all web design assets, ensuring the client retains a license to use them for the intended purpose. The intellectual property provisions in Section 6 below apply to all web design deliverables.
5. Payments
- Clients agree to pay all fees associated with the Services as outlined in the agreement or invoice provided by Growth4ward.
- Payments are due within the specified time frame on the invoice unless otherwise agreed upon.
- Late payments may be subject to additional fees, and non-payment may result in a suspension or termination of Services.
6. Confidentiality
Growth4ward will treat all client-provided information as confidential. We will not disclose any confidential information to third parties without the client’s prior consent unless required by law.
7. Intellectual Property
- Any materials created by Growth4ward, including but not limited to logos, designs, web content, or code, remain the intellectual property of Growth4ward until full payment is received.
- Upon payment, Growth4ward grants the client a non-exclusive, royalty-free license to use the created materials for their intended purpose.
- The client agrees not to resell or redistribute any part of the design or development work without Growth4ward’s express written consent.
8. Third-Party Services and Hosting
Growth4ward may use third-party tools and platforms to deliver Services, including web hosting platforms. Clients agree to comply with any terms and policies of such third parties, as applicable. Growth4ward is not liable for issues arising from third-party services, including downtimes or security issues with third-party hosts.
9. Limitation of Liability
To the fullest extent permitted by law, Growth4ward will not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use our Services, even if we have been advised of the possibility of such damages.
10. Termination
Growth4ward reserves the right to terminate or suspend Services at any time, with or without cause, and without liability. If the client wishes to terminate the Services, they must notify Growth4ward in writing.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Clients will be notified of any significant changes. Continued use of our Services after changes are made signifies acceptance of the revised Terms.
